Terms of Service

Nexa SQL · Effective 2026-10-12 · Last updated 2026-10-12

These Terms govern the rights, obligations, and responsibilities between SosomLab (the “Company”) and you regarding the use of Nexa SQL (the “Software”).

1. Definitions

  1. “Software” means the Nexa SQL application distributed by the Company, including the GUI program, the command-line tool nsql, the installers (MSI, pkg, dmg, deb, rpm), and package-manager distributions.
  2. “User” or “you” means any person or organization that downloads, installs, or uses the Software.
  3. “Database” means a database server or database file that you connect to with the Software. Databases are not part of the Software and are operated by you or their administrators.
  4. “License File” means a signed offline file (nexa-sql.license) issued by the Company and bound to a specific PC.
  5. “Extension” means a syntax, formatter, or code (WASM) package added to the Software through the Extension Manager or the extensions folder.

2. Effect and Changes

  1. These Terms take effect when you download, install, or use the Software.
  2. The Company may amend these Terms within the limits permitted by applicable law. Amendments and their effective date will be posted on this page; material changes will be announced at least 7 days before they take effect. Continued use of the Software after the effective date constitutes acceptance of the amended Terms.

3. License

  1. The Software is provided under the PolyForm Noncommercial License 1.0.0. Personal and noncommercial use is free of charge, and currently all features are available without a License File.
  2. Commercial use (use for business or profit, use within an organization, etc.) requires a separate paid license. Tiers, pricing, and conditions are provided on inquiry: kiros33@sosomlab.com.
  3. A License File is issued based on a request code that you email yourself, and is valid only on the PC for which it was issued. Its validity period, covered version range, number of registrable devices, and similar conditions follow the terms written in the file at issuance. You must not transfer, share, forge, or alter a License File.
  4. The Company may, in future versions, make certain features available only with a License File. In that case it will give advance notice and will not retroactively worsen the conditions of versions already distributed.
  5. The full license text is published in the Software’s source repository and prevails over this section in case of conflict (for paid licenses, the relevant agreement prevails).
  6. The Software is licensed, not sold. All intellectual property rights, including copyright, remain with the Company.

4. Nature of the Software

  1. The Software runs on your device and connects only to the databases you specify. The Company does not provide accounts, hosting, databases, or storage.
  2. The Software does not send query results or database data to the Company. The data stored on your device and the data that goes over the network are described in the Privacy Policy.
  3. Saved connection passwords are encrypted with the device key (device.key) on your device. If this file is damaged, deleted, or moved to another PC or account, the saved passwords cannot be opened, and the Company has no way to recover them. Backing up the configuration folder and managing connection details and credentials are your responsibility.

5. Responsibility for Database Operations

  1. The Software sends to the database exactly the SQL statements you write or instruct it to run, edits in the result grid, drops and changes in the object explorer, bulk loads (import), scripts, and CLI commands. Which statements run against which database is entirely your decision, and you are responsible for the results.
  2. Operations that change or delete data or objects, such as DELETE, UPDATE, DROP, and TRUNCATE, cannot be undone by the Software once committed or auto-committed. In many DBMSs, DDL statements take effect immediately. Check the target server, schema, and conditions before running, and back up important data beforehand.
  3. The safety aids provided by the Software — read-only handling of servers marked as production (PRD), DDL backup before dropping objects, transaction-mode indicators, confirmation dialogs, the transaction log, and so on — are only aids to reduce mistakes and do not guarantee prevention of data loss. The DDL backup does not preserve data (rows).
  4. You must have legitimate access rights to the databases you connect to and must comply with your organization’s security policies and applicable laws (including data protection laws). If you export or copy query results, you are responsible for storing and managing that data.
  5. Encryption in transit depends on the DBMS and server configuration; in the current version, PostgreSQL connections do not support TLS. Choosing protective measures suitable for your network environment is your responsibility.

6. Extensions

  1. The Extension Manager is off by default, and only extensions you turn on and install yourself are used.
  2. Apart from extensions the Company publishes in its official repository, repositories you add and extensions made by third parties are the responsibility of their authors; the Company does not warrant their content, safety, or behavior.
  3. Code extensions run in a sandbox (WASM) and are verified with SHA-256 at installation, but these measures reduce risk and do not guarantee the elimination of all risk.

7. Code Signing of Distributions

The Software’s installers are currently distributed without code signing by the operating system vendors. As a result, Windows SmartScreen or macOS Gatekeeper warnings may appear. Download only from the Company’s official channels (GitHub Releases and package managers the Company announces), and verify files with the SHA-256 checksums published alongside them. The Company is not responsible for damage caused by files obtained from unofficial sources.

8. Your Obligations

You must not:

  1. Use the Software commercially without a valid paid license
  2. Forge or alter a License File, circumvent license checks such as device verification, or transfer or share a License File with others
  3. Connect to databases you are not authorized to access, or use another person’s credentials without permission
  4. Use the Software to attack others’ systems or to view, alter, or leak data without authorization
  5. Modify the Software to include malicious code, or distribute such modified copies
  6. Engage in any other conduct prohibited by applicable law or these Terms

9. Third-Party Components

The Software runs on components provided by the operating system and may be used together with third-party software you install separately (Oracle Instant Client, curl, package managers, etc.). Those components are governed by their own licenses and terms, and the terms of use of database products are a matter between you and their vendors.

10. Disclaimer of Warranties

The Software is provided “as is,” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Software will operate without interruption or error, that the results of queries, edits, loads, or exports will be accurate, or that it will be compatible with any particular DBMS, version, driver, network environment, or operating system.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Company is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or business, loss, corruption, or alteration of database data, statements executed against the wrong target, service interruption, or loss of saved settings or credentials, arising from the use of or inability to use the Software. However, liability that cannot be excluded by law, including liability for willful misconduct or gross negligence, is not limited. For paid licenses, the Company’s liability is limited to the amount you paid for the relevant license (except where such limitation is not permitted by law).

12. Discontinuation

The Company may change or discontinue distribution of the Software or any of its features at any time. Copies already installed may continue to be used under these Terms and the license, and because the Software does not contact a server to check its license, discontinuation does not affect the operation of installed copies.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Korea. Any dispute arising in connection with the Software shall be brought before the court having jurisdiction under the Civil Procedure Act of Korea.
